Terms of Service

1. Services

Idin Studio (“we”, “us”) provides software engineering, product development, and technical consulting services. The specific scope, timeline, and deliverables for each engagement are defined in a separate project agreement or statement of work signed by both parties.

2. Payment

Payment terms are specified in each project agreement. Invoices are due within the period stated on the invoice. We reserve the right to pause work on active projects where invoices are overdue by more than 14 days.

3. Intellectual Property

Upon receipt of full payment, you own the custom code and deliverables produced specifically for your project. We retain ownership of any pre-existing tools, frameworks, libraries, or general-purpose components used in your project that were not created exclusively for you.

We reserve the right to reference the work completed for you as part of our portfolio and case studies, unless you request otherwise in writing.

4. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives the end of the engagement.

5. Warranties and Liability

We deliver our services with professional care and in accordance with agreed specifications. We warrant that deliverables will function as described for 30 days after delivery. Beyond this, all services are provided “as is.” Our total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement.

6. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, you are responsible for payment of all work completed up to the termination date. We will deliver all completed work and related materials.

7. Governing Law

These terms are governed by the laws of Indonesia. Any disputes arising from our services will be resolved through good-faith negotiation before any formal proceeding.
